Netherlands Market Entry Review
Find the Right Setup Before You Start
Entering the Dutch market does not automatically mean that you need a Dutch company.
Depending on your activities, you may be able to operate through your existing foreign company, or establishing a Dutch B.V. or branch may be more appropriate. Even without a Dutch company, you may have Dutch corporate tax, VAT, payroll or other compliance obligations.
Choosing the wrong setup can lead to unnecessary costs, unexpected tax obligations or additional compliance.
Our Netherlands Market Entry Review helps you determine the most suitable approach before you commit to a particular structure.

Assessment of Your Plans
Before the consultation, we review your business, ownership structure and proposed Dutch activities to identify the relevant market-entry options.
Online Consultation
We discuss the available options, their principal Dutch tax and compliance implications, and the practical considerations affecting your decision.
Written Roadmap
Within 3 to 5 working days after the consultation, you receive a concise written roadmap setting out:
- Our recommended setup and the main reasons behind it.
- The main alternatives considered and the reasons for our recommendation.
- The principal Dutch tax, VAT, payroll and reporting obligations likely to apply.
- The practical next steps, in the order in which they should be taken.
The roadmap is yours to keep and use, whether or not you instruct us for the implementation.
The delivery period assumes that we have received all information necessary to complete the review.
Experienced Tax Advisers
The review is carried out by one of our Registered Tax Advisers (RB), each with prior experience at leading international firms such as Deloitte and EY.
Is This Review Right for You?
The review is intended for international businesses and entrepreneurs planning to enter the Netherlands who have not yet determined the most appropriate setup.
Typical questions include:
- Do we need a Dutch B.V., a branch or neither?
- Can we operate through our existing foreign company?
- Will our activities create Dutch corporate tax obligations?
- Can we employ people in the Netherlands without establishing a Dutch entity?
- Do we need Dutch VAT or EORI registration?
- What ongoing Dutch accounting, tax and payroll obligations should we expect?
Our aim is to give you a clear recommendation on how to enter the Dutch market, which obligations to anticipate and what steps to take next.
What Does the Review Cover?
Depending on your plans, we consider:
- Business structure: Dutch B.V., branch or existing foreign company.
- Corporate taxation: Dutch corporate income tax and permanent establishment risks.
- VAT and customs: VAT obligations, registration and EORI requirements.
- Employees and payroll: Employer registration, payroll obligations for foreign employers and relevant employment considerations.
- Management and tax residence: Management location and potential corporate tax residence implications.
- Ongoing compliance: Expected Dutch accounting, reporting and tax obligations.
Where relevant, we also identify applicable tax treaty considerations and other cross-border tax issues.
The review is a preliminary assessment intended to support your decision, not a comprehensive tax or legal opinion. If more detailed analysis is needed, we will explain this and discuss the next steps.
Do You Need a Market Entry Review?
Not necessarily.
If you already know what you need and there are no material structural questions to resolve, you can usually proceed directly with the relevant service.
Already Decided to Establish a Dutch B.V.?
You normally do not need a separate review.
Only Looking to Employ People in the Netherlands?
If you want to employ people through an existing foreign company, you may be able to proceed directly with our employer registration and payroll services.
Where your planned activities raise broader questions about Dutch corporate tax exposure or business structure, a Market Entry Review may be appropriate.
Already Know Which Service You Need?
You can instruct us directly for the relevant service.
Only Have a Specific Question?
If you need advice on one or two clearly defined questions, an online consultation may be sufficient.
Questions requiring an assessment of the appropriate structure for entering the Netherlands fall outside the scope of the standard online consultation and are covered by this review.
